Are you an experienced corporate governance professional looking for your next career move? Our client, a leading company in the resources sector, is seeking a Company Secretary to join their Brisbane office. This hands-on role involves supporting corporate governance, compliance, and internal controls while providing corporate affairs and administrative support to the Corporate Development team. You will work closely with senior stakeholders and gain exposure to global operations.
Key Responsibilities:
Ensure compliance with the Corporations Act 2001 and other relevant legislation, including ASIC filings and statutory record maintenance.
Plan and coordinate Board and committee meetings, including agendas, minutes, action tracking, and resolution execution.
Manage procedures for company officer or member changes across subsidiaries, joint ventures, and committees.
Maintain and update internal policies, registers, and procedures in line with legislation and best practice.
Prepare regulatory reports, including Modern Slavery Statements and FIRB filings.
Support compliance programs, staff onboarding, training initiatives, and internal audits.
Collaborate with Finance and other departments to implement and monitor internal controls.
Prepare management and stakeholder reports, maintain records, and ensure data accuracy.
Provide general support for corporate initiatives, events, and ad hoc requests.
About You:
Tertiary qualification in Commerce, Law, or a related discipline.
4-5 years' experience in corporate governance, company secretarial work, or compliance in an Australian corporate environment.
Experience in resources or joint venture management is advantageous.
Strong analytical, strategic thinking, and problem-solving skills.
Excellent written and verbal communication, with attention to detail.
